Terms of Service
Welcome to Upsociate Business Services ("we," "our," or "us"). These Terms and Services ("Terms") govern your access to and use of our Software-as-a-Service ("SaaS") platform, which helps entrepreneurs track their goals through daily and weekly check-ins, accountability checks, and optional business coaching ("Services"). By using our platform and Services, you agree to be bound by these Terms.
1. Acceptance of Terms
By accessing or using our platform, you confirm that you have read, understood, and agree to these Terms. If you do not agree, you may not use our Services.
2. Eligibility
Our Services are intended for individuals 18 years or older. By using the platform, you confirm that you meet this age requirement and are legally permitted to enter into these Terms.
3. Services Overview
Our Services include:
Goal Tracking: Tools for daily and weekly check-ins to monitor your entrepreneurial progress.
Accountability Checks: Periodic reminders and progress evaluations to help you stay on track.
Business Coaching (Optional): Personalized coaching sessions available upon request for additional fees.
4. Account Registration
To use our Services, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for any activities under your account.
5. Payment and Billing
5.1 Subscriptions Our Services operate on a subscription basis. Fees and billing cycles are outlined at the time of purchase.
5.2 Additional Fees Business coaching sessions or other add-on services may incur additional charges, which will be disclosed prior to purchase.
5.3 Refunds Refund requests will be considered on a case-by-case basis. Please refer to our Refund Policy for more details.
6. User Responsibilities
6.1 Prohibited Activities
You agree not to:
- Use the platform for any unlawful purpose.
- Share your account credentials with others.
- Reverse-engineer or attempt to disrupt the platform’s operations.
6.2 Content Ownership
You retain ownership of the data and content you input into the platform. By using the Services, you grant us a license to process your data to provide the Services.
6.3 Your Responsibilities
You are solely responsible for reviewing the materials and advice presented in the Program, as well as for making, implementing, and maintaining your own business decisions, choices, and actions. This includes any decisions that result from your participation in the Upsociate Program and the topics covered within it.
Neither Upsociate, nor any other client, student, mentor, coach, or individual offering advice within the Upsociate community, educational modules, group sessions, or individual coaching calls, will be liable for any of your actions, inactions, or decisions, or for the outcomes of any advice provided to you.
To maximize your results, you certify that you are motivated and committed to taking action toward your personal, educational, and professional goals. Achieving success requires your full, consistent participation, including:
- Attending coaching sessions and calls as scheduled.
- Completing any “homework.”
- Applying lessons learned and discoveries made during the sessions.
You take full responsibility for your personal and business growth, including your health, finances, and any actions taken as a result of the program.
6.4 Coaching Limitations
Coaching is Not Therapy: While mindset coaching may address mental challenges, it is not a replacement for therapy. Coaching does not prevent, cure, or treat mental disorders or medical conditions. It is solely your responsibility to seek professional guidance if needed.
Comprehensive Process: Coaching may explore various areas of your life and business, including finances, relationships, health, wellness, family history, and more. You are entirely responsible for choosing the topics to discuss and deciding how to apply the insights gained.
6.5 Health and Well-Being:
You confirm that you are in good mental, physical, emotional, and psychological health and that participating in coaching poses no risk to you. If you are under the care of a mental health professional, it is recommended that you consult them before engaging in coaching. If issues arise during the Program that require medical or therapeutic attention, you agree to address them promptly by seeking the appropriate professional help.
6.6 Financial Responsibility: You confirm that you can financially afford the fees stated in this agreement.
6.7 Communication and Participation
Commitment: To get the most from the one-on-one coaching, you agree to communicate honestly, remain open to feedback and assistance, and dedicate time and energy to fully engage in the process. You take responsibility for creating value and results for yourself and promise to communicate with Upsociate if you need help or face challenges.
Scheduling and Attendance: If you are late for a coaching call or appointment, the original schedule will still apply. The session will begin and end at the originally agreed time.
Rescheduling: If you need to reschedule a one-on-one coaching call, you must provide at least 48 hours’ written notice. Failing to do so may result in the loss of future coaching privileges.
7. Privacy
Your use of our Services is subject to our Privacy Policy, which outlines how we collect, use, and protect your data.
8. Termination
We reserve the right to suspend or terminate your account if you violate these Terms. You may terminate your subscription at any time through your account settings, subject to applicable billing cycles.
9. Disclaimers and Limitations of Liability
9.1 No Guarantees
We do not guarantee specific results from the use of our Services. The tools and coaching provided are designed to support your efforts but are not a substitute for your own diligence and decision-making.
9.2 Limitation of Liability
To the maximum extent permitted by law, we are not liable for any indirect, incidental, or consequential damages arising from your use of the Services and / or one-on-one coaching.
10. Modifications to Terms
We may update these Terms from time to time. Changes will be effective upon posting to our platform, and we will notify users of significant updates. Continued use of the Services constitutes acceptance of the revised Terms.
11. Governing Law
These Terms are governed by the laws of Manitoba, Canada. Disputes can be resolved in the provincial and federal courts of Manitoba.
